TERMS AND CONDITIONS


These terms and conditions apply to courses and other services provided by Veles CGK LTD, an English company with company number: 14545743, registered office address: 4th Floor, Silverstream House, 45 Fitzroy Street, Fitzrovia, London, England, W1T 6EB ("we" or "us" or "our"). These Terms and Conditions are an addition to any other agreements, all of which can be found together with these Terms on aibizidea.com, and apply to the use of the Website and the sale of any online courses or services.

1. Definitions
“Services” means the provision of the Online Courses and/or Course Materials together with any other services which you purchase through the Website, email or other means of communication.
“Online Course” means the provision of an online course to you by which you learn information provided.
“Course Materials” means any information we provide to you, either in electronic or printed form, for the purpose of accompanying an online course provided as part of the Service.
“Fees” means the fees you pay to us for the Services.
“Intellectual Rights” means copyright, rights in or relating to databases, patent rights, performance rights, designs and registered designs, trademarks or related to confidential information and other intellectual property rights (whether registered or unregistered).
“Website” means aibizidea.com
“You”/“Customer”/“Client” means the individual purchasing the Service.

2. The Service
2.1. Subject to the fees paid, we grant you a limited-term, non-transferable, non-exclusive license to use the Online Courses, the Course Materials and the Software relating to the Online Courses solely for the purpose of completing the Online Courses. Each license may include multiple logins to allow multiple users to access the Online Courses, as agreed with you.
2.2 A summary description of the Services, consisting of online courses, course materials and any other contracted services, together with the validity period of the license and the number of registrations associated with your license, can be found on your order form, invoices or account.
2.3 Detailed service descriptions and online courses can be found on the website or in course information.
2.4 We will provide the Services with all reasonable care and skill and reserve the right to change or withdraw any Services described on the Website without notice.
2.5 We expect confirmation from you that the service you have purchased meets your requirements. We do not guarantee that you will obtain a particular result by purchasing and completing a service.

3. Order service
3.1 You do not need to have a registered account with us to purchase a Service, however you must register an account with us to access your online courses, shopping services via the Website.
3.2 To purchase Services online, you must complete the online enquiry form with your data.

3.4 When you place an order for a Service, you agree to purchase the Service subject to these Terms and Conditions. We reserve the right to cancel or refuse your order, or any part of your order, at any time until it has been confirmed in accordance with Section 3.5 below.
3.5 Once we have received your confirmation to proceed with the ordering of your Services, we will contact you to confirm.
3.6 A legally binding contract between us and you will beconcluded when:
a) You have accepted an offer to purchase services from us by sending us an email confirming the purchase.
b) We have received payment of the relevant Fees from you in accordance with Clause 5 below.
3.7 If your order includes multiple online courses, we will consider each individual course as a separate offer to purchase. Acceptance of the offer to purchase one or more courses will not mean acceptance of our offer to purchase any other courses that make up your order.

4. Cancellation and modification
4.1 Subject to clause 4.2 below, where we have accepted/confirmed the Services you have purchased and entered into a legally binding contract with you in accordance with clause 3.6 above, you may, within 14 working days from the day after the day on which you access the Online Courses or Services, cancel your purchase of the Services.
4.2 If you have purchased an Online Course and have already accessed and/or started using all or part of the Online Course, there is no option to cancel your order.
4.3 Notwithstanding clause 4.1, there shall be no other right to cancel or amend your purchase of Services and any cancellation and/or amendment of Course content shall be at our discretion.

5. Fees
5.1. Access to online courses and services will not be granted until full payment has been received in our bank account.
5.2 Payment of the fees for the services you have chosen can be made by credit card (Mastercard or VISA) or bank transfer. Credit card transactions will incur an additional processing fee. In addition, each party is responsible for its own bank/credit card fees and currency exchange.
5.3 We reserve the right to change fees and billing methods at any time.
5.4 You are responsible for all costs incurred in connection with your access to and completion of an Online Course.

6. Limitation of Liability
6.1 You agree to these Terms and Conditions on behalf of yourself or your organization and any person who receives an online course or service. Any breach or failure to comply with the terms and conditions set out here by any person to whom you grant access to our online courses or services will be subject to all the provisions of these Terms and Conditions and appropriate action will be taken.
6.2 The provision of the Service is not intended to be, and should not be considered to be, part of the provision of professional educational, medical or therapeutic advice.
6.3 Whilst we endeavor to provide the Service to the highest standards, we or any other person providing training on an Online Course will not be responsible for (i) any inaccuracies or misleading information provided in an Online Course or Course Materials and for any reliance placed by you on such information, (ii) any loss or corruption of data, (iii) any loss of profits, revenue or goodwill, or (iv) any indirect, special or consequential loss arising from any breach of these Terms and Conditions.
6.4 Except as expressly set out in these Terms and Conditions, there are no conditions, warranties or other terms applicable to the Services. Subject to clause 6.5, there are no implied conditions, warranties or other terms (including implied terms of satisfactory quality, fitness for purpose or conformity with description).
6.5 Subject to Section 6.6 below, our entire liability arising out of or in connection with these Terms and Conditions and in respect of anything we have done or failed to do in connection with these Terms and Conditions and the provision of the Services (and whether any liability arises (for breach of contract, negligence or otherwise)) shall be limited to the fees received by us in connection with the relevant Online Course or Online Service over which a dispute has arisen.
6.6 Nothing in this Agreement excludes or limits our liability for (i) death or personal injury caused by our negligence, (ii) fraudulent misrepresentation, or (iii) anything else which cannot be limited or excluded under English law.

7. Intellectual Property Rights
7.1 All intellectual property rights in the online courses, course materials and services provided are the intellectual property rights of Veles CGK LTD or its licensors, whether or not adapted, written or customized for you.
7.2 You are not entitled to:-
a) copy, modify, reproduce, republish, sublicense, sell, upload, broadcast, publish, transmit or distribute the online courses, course materials or services provided without prior written permission;
b) record the online course on video or audio tape, transmit in any other way;
c) use the Course Materials to conduct any other course or training, whether provided by us or by a third party;
d) remove any copyright or other notices of Veles CGK LTD or any of its affiliates on the Online Courses or Course Content;
e) modify, adapt, combine, translate, disassemble, decompile, reverse engineer (to the extent permitted by law) any software that is part of the online courses;
Any breach by you of this Clause 7.2 will entitle us to immediately terminate these Terms and Conditions with you and stop providing services to you, including but not limited to access to the Online Courses.

8. Confidentiality
8.1 Each party undertakes to keep the other party's Confidential Information strictly confidential and to use it only for the purposes set out in these Terms and Conditions. It will return it on request and shall not retain any copy of it.
8.2 Each Party may disclose Confidential Information to its legal advisers and other consultants for the purpose of obtaining advice from them.
8.3 This provision shall survive termination of these Terms.

9. Termination
9.1 We have the right to terminate these Terms and stop providing your Services with immediate effect if you:
a) You do not pay your fees when due;
b) behave in an aggressive, bullying, abusive, threatening or harassing manner towards our staff, teachers or lecturers who offer the online courses or towards students who participate in the online courses;
c) violate these Terms and Conditions.
9.2. Following termination, Clauses 6 (Limitation of liability), 7 (Intellectual Rights) and 8 (Confidentiality) shall survive such termination.

10. Projects
All Services provided under these Terms are personal to you and are not transferable or assignable to any other party.
We have the right to assign these Terms and Conditions to any other company without notice to you.
We may assign, transfer or subcontract our rights or obligations to any third party at our sole discretion.

11. Entire Agreement
These Terms and Conditions, together with all other Policies constitute the entire agreement between the parties and supersede all previous agreements and understandings, written or oral. You acknowledge that you have not relied on any representations in entering into these and other terms and conditions with us. Nothing in this clause or these terms and conditions limits liability for fraudulent misrepresentation.

12. Force Majeure
We will not be liable to you for any breach of our obligations or termination under these Terms and Conditions resulting from causes beyond our reasonable control, including, but not limited to, fire, flood, earthquake, volcano and other acts of God, terrorism, strikes, delays due to traffic disputes, government orders or regulations.

13. Data Protection
13.1 The nature of the Services provided means that we collect, use and disclose (collectively, "Use") certain information about you ("Data"). Our entire Privacy Policy can be viewed at https://aibizidea.com/.

14. Law and Jurisdiction
This Agreement is governed by English law and the parties submit to the jurisdiction of the English courts in relation to any disputes arising under this Agreement.
